Welcome to ServlyPro.

These Terms of Service ("Terms") govern your access to and use of the ServlyPro website, mobile application, software platform, public-facing pages, and related services (collectively, the "Services").

By creating an account, accessing or using ServlyPro, or otherwise indicating your acceptance of these Terms, you agree to these Terms. If you do not agree, you may not use the Services.

1. About ServlyPro

ServlyPro provides software tools designed to help service businesses manage their operations, including customers, leads, jobs, scheduling, online booking, quotes and estimates, invoices, payments, team members, documents, reporting, and customer communications.

ServlyPro provides software tools only. We do not perform the services offered by businesses using the platform.

2. Accounts and Eligibility

ServlyPro is primarily intended for businesses and their authorized team members.

If you create or use an account on behalf of a business or organization, you represent that you have authority to act on its behalf and agree to these Terms.

You are responsible for providing accurate account information, protecting your login credentials, and maintaining the security of your account.

Businesses may invite employees, contractors, or other authorized team members to use their ServlyPro account. The business is responsible for managing their access and permissions.

Certain public-facing ServlyPro features may be used by customers without creating an account, including job request pages, quote pages, invoice pages, and payment-related pages.

3. Subscription Plans and Billing

Certain ServlyPro features require a paid subscription.

By purchasing a subscription, you authorize ServlyPro and its payment providers to charge the applicable subscription fees and taxes according to your selected plan and billing cycle.

Subscriptions automatically renew unless cancelled before the next renewal date.

Subscription prices, features, and usage limits may change from time to time. Where required by applicable law, we will provide appropriate notice before material pricing changes take effect.

Payments are non-refundable except where required by applicable law or expressly stated otherwise by ServlyPro.

4. Free Trials and Promotions

ServlyPro may offer free trials, promotional pricing, giveaways, credits, or other promotions.

Additional eligibility requirements or promotional terms may apply.

Unless otherwise stated, access to paid features may become restricted after a free trial ends if a paid subscription is not activated.

ServlyPro may modify or discontinue promotions subject to applicable law.

5. Cancellation

You may cancel your ServlyPro subscription at any time through ServlyPro.

Unless otherwise stated or required by law, cancellation takes effect at the end of your current paid billing period. You may continue using the applicable paid features until that period ends.

Cancelling your subscription does not automatically provide a refund for amounts already paid.

6. Online Booking and Customer Requests

ServlyPro allows businesses to provide customers with public job request or online booking pages.

Customers may use these pages to provide information and request services from a business using ServlyPro.

Submitting a request does not guarantee that a business will accept, schedule, or perform the requested service.

The business is responsible for reviewing requests, communicating with customers, determining availability, pricing services, and accepting or declining work.

ServlyPro is not a party to the service agreement between a business and its customer.

7. Quotes, Estimates, and AI Features

ServlyPro may provide artificial intelligence and automated tools to assist businesses in creating quotes, estimates, descriptions, pricing suggestions, labour information, material suggestions, or other content.

AI-generated content is provided as an assistive tool and may be inaccurate, incomplete, or unsuitable for a particular job.

Businesses are responsible for reviewing and approving all AI-generated content before relying on it or sending it to a customer.

ServlyPro does not guarantee the accuracy, completeness, profitability, or suitability of AI-generated estimates, pricing, materials, quantities, descriptions, or other content.

8. Quotes, Invoices, and Customer Actions

ServlyPro may allow businesses to send quotes and invoices to customers through public-facing ServlyPro pages.

Customers may be able to accept or decline quotes, request changes or customization, view invoices, and access available payment options.

Businesses are solely responsible for the accuracy of their quotes, invoices, prices, services, taxes, discounts, terms, and other information provided to customers.

Businesses are also responsible for determining and complying with applicable tax, accounting, licensing, consumer protection, and other legal requirements.

ServlyPro does not provide legal, tax, accounting, or financial advice.

9. Payments and Stripe

ServlyPro may allow businesses to accept customer payments through Stripe Connect.

When customers choose to pay an invoice online, they may be redirected to or use a payment interface provided or processed by Stripe.

Payment processing is provided by Stripe and is subject to Stripe's applicable terms, policies, verification requirements, and agreements.

ServlyPro does not directly process or store payment card information when that information is collected and processed by Stripe.

ServlyPro is not responsible for declined payments, payment processing outages, chargebacks, disputes, payout delays, account restrictions, verification requirements, holds, reserves, or other actions taken by Stripe.

Businesses remain responsible for their customer transactions, refunds, disputes, chargebacks, and applicable taxes.

10. Customer Communications

ServlyPro may provide tools for businesses to send or automate communications such as appointment notifications, quote notifications and follow-ups, invoice notifications, and payment reminders.

Businesses are responsible for ensuring that they have the right to contact their customers and for complying with applicable privacy, electronic communication, and anti-spam laws.

ServlyPro does not guarantee the delivery of emails, reminders, notifications, or other communications.

11. Your Data and Content

You retain ownership of the customer information, job information, files, photos, documents, quotes, invoices, and other content you submit to ServlyPro.

You grant ServlyPro permission to host, store, process, transmit, and display this content as reasonably necessary to provide, maintain, secure, and operate the Services.

You are responsible for ensuring that you have the right to collect, upload, store, and use information submitted through your account.

Our collection and handling of personal information is further described in the ServlyPro Privacy Policy.

12. Businesses and Their Customers

ServlyPro is a software platform and is not a contractor, home service provider, employer, agent, or representative of businesses using ServlyPro.

ServlyPro does not perform, supervise, inspect, guarantee, or warrant services provided by businesses using the platform.

Each business is responsible for its customers, employees, contractors, services, pricing, quotes, scheduling, workmanship, licensing, insurance, permits, safety requirements, warranties, refunds, taxes, and completion of work.

Any agreement for services is between the business and its customer.

ServlyPro is not responsible for disputes between businesses and their customers relating to pricing, workmanship, property damage, scheduling, cancellations, refunds, service quality, or other services performed or promised by the business.

13. Acceptable Use

You agree not to:

  • Use ServlyPro for unlawful, fraudulent, deceptive, or abusive purposes
  • Gain or attempt to gain unauthorized access to accounts, systems, or data
  • Upload malicious software, code, or harmful content
  • Interfere with the operation, availability, or security of the Services
  • Impersonate another person or business
  • Use ServlyPro to send unlawful spam or communications
  • Upload or process information you do not have the right to use
  • Circumvent security, subscription, account, or usage restrictions
  • Copy, reverse engineer, or attempt to derive ServlyPro's source code except where permitted by applicable law
  • Use the Services in a manner that violates applicable laws or another person's rights

14. Intellectual Property

ServlyPro and its software, branding, logos, designs, interfaces, features, documentation, and other proprietary materials are owned by ServlyPro or its licensors and are protected by applicable intellectual property laws.

Your use of ServlyPro does not transfer ownership of any ServlyPro intellectual property to you.

You may not copy, modify, distribute, sell, sublicense, reverse engineer, or reproduce ServlyPro's proprietary materials without written authorization, except where permitted by applicable law.

15. Third-Party Services

ServlyPro may integrate with or rely on third-party services, including payment processors, email services, mapping providers, analytics providers, authentication services, cloud infrastructure, and app stores.

Third-party services may have their own terms and privacy policies.

ServlyPro is not responsible for the availability, actions, policies, security, or performance of third-party services.

Changes or interruptions affecting a third-party provider may affect certain ServlyPro features.

16. Service Availability and Changes

We may add, modify, improve, replace, restrict, or discontinue ServlyPro features from time to time.

We do not guarantee that the Services will always be uninterrupted, error-free, or available.

Maintenance, technical issues, internet connectivity, third-party outages, security incidents, or circumstances outside our reasonable control may temporarily affect the Services.

17. Disclaimer of Warranties

To the maximum extent permitted by applicable law, ServlyPro is provided on an "as is" and "as available" basis.

We do not guarantee that ServlyPro will meet every business requirement or produce any particular business result.

ServlyPro does not guarantee increased revenue, customer acquisition, job volume, quote acceptance, payment collection, profitability, or other business outcomes.

18. Limitation of Liability

To the maximum extent permitted by applicable law, ServlyPro and its owners, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the use of the Services, including loss of profits, revenue, business opportunities, goodwill, or data.

To the maximum extent permitted by applicable law, ServlyPro's total liability arising from or relating to the Services or these Terms will not exceed the amount you paid to ServlyPro during the twelve months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

19. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless ServlyPro and its owners, employees, contractors, and affiliates from claims, losses, damages, liabilities, and reasonable expenses arising from your misuse of the Services, violation of these Terms, violation of applicable law, User Content, services provided to your customers, or disputes between you and your customers.

20. Suspension, Termination, and Account Deletion

ServlyPro may suspend or terminate access to the Services if these Terms are materially violated, payments remain outstanding, an account creates a security or fraud risk, continued access could harm ServlyPro or others, or suspension or termination is required by applicable law.

Users may delete their account using available ServlyPro account features.

Account deletion may result in loss of access to customer records, jobs, quotes, invoices, documents, reports, and other account information.

Certain information may be retained following account deletion where required or permitted by applicable law or as otherwise described in our Privacy Policy.

You are responsible for retaining or exporting business records you are legally required to maintain before deleting your account.

21. Changes to These Terms

We may update these Terms to reflect changes to ServlyPro, our business practices, or applicable legal requirements.

When these Terms are updated, the "Last Updated" date will be revised. Where required by applicable law, we will provide additional notice of material changes.

Your continued use of ServlyPro after updated Terms become effective constitutes acceptance of those Terms to the extent permitted by applicable law.

22. Governing Law

These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles.

Subject to rights that cannot legally be waived, disputes relating to these Terms or ServlyPro will be subject to the jurisdiction of the courts of Ontario, Canada.

Nothing in these Terms limits rights or remedies that cannot be excluded under applicable law.
